Seenergie Lifestyle Inc. (the “Company”) is a corporation incorporated pursuant to the laws of the Republic of the Philippines and having its
registered address at the Ground Floor Mezzanine, Unit A GPI Building 53 Bayani Road, Barangay Western Bicutan, Taguig City, Philippines.

The Company is a wellness online consulting company operating in the Philippines that facilitates the provision of Healthcare Services by connecting its users with licensed doctors, Compounding Pharmacies, and other licensed Healthcare Providers.

The Company itself is neither a licensed clinic nor a licensed Compounding Pharmacy.

By registering as a User of Seenergie, the Client accepts the following terms and conditions (“Agreement”) for the use of Seenergie’s website and its services:

Definitions

13 Consumer Act, as amended, Art. 123.

These definitions apply to these Terms and Conditions, including other supplemental agreements between the parties as provided herein: 

“Client” refers to any person who registers for and uses the services provided by the Company. Aside from the primary registrant and user, this term also includes dependent for whom a third person is acting as a representative, as well as licensed physicians and other Healthcare Providers who may access the Doctor Portal on the website, all in accordance with these Terms and Conditions. 

“Compounding pharmacy” refers to a place or establishment where medical, dental, and veterinary prescriptions are compounded and dispensed. 

“Dependent” refers to the person who may be under Client’s guardianship or is deemed Client’s legitimate parent or legitimate, legitimated, legally adopted or acknowledged natural child, who is either a minor or incapacitated, within the purview of law. 

“Healthcare Provider” refers to any duly licensed healthcare professional who may be a physician, pharmacist, or other allied professional or practitioner devoted primarily to the provision of Healthcare Services. “Healthcare Services” refer to the services of Healthcare Providers which are intended for health promotion, prevention, diagnosis, treatment, rehabilitation and palliation of individuals suffering from illness, disease, injury, disability, or deformity, or in need of obstetrical or other medical and nursing care.

“Services” are limited to and refer specifically to the facilitation of provision of Healthcare Services conducted through the platform of the Company which connects the Client with licensed physicians, Compounding Pharmacies, and other licensed Healthcare Providers. This includes the teleconsultation/telemedicine platform to be provided by the Company.

Age and Capacity

The Client represents and warrants that they are at least eighteen (18) years of age and have the capacity to bind themselves contractually to these Terms and Conditions. Persons under eighteen (18) years of age, or otherwise incapacitated to accept these Terms and Conditions, may not register for the Company’s Services.

If acting on behalf of Dependents, the Client represents and warrants that they are authorized to act for and on behalf of, and to bind such Dependents. The Client also warrants that they have fully informed each of the Dependents and that they have fully understood, consented, and accepted these Terms and Conditions.

Upon request, the Client shall provide the Company with written proof of the Client’s (a) specific authorization to act on behalf of the Dependents; and (b) the consent and acceptance of these Terms and Conditions by the Dependents.

Access to the Doctor Portal

Access to the Doctor Portal is restricted to licensed physicians and identified Healthcare Providers who have been duly verified by the Company. To gain access, they must provide valid proof of their professional credentials as may be required by the Company. Failure to provide accurate or complete verification documents may result in denial or termination of access.

The Doctor Portal is intended solely for professional use in connection with the Company’s Services. Healthcare Providers agree to use the Doctor Portal in accordance with all applicable laws, regulations, and ethical standards governing their profession.

Healthcare Providers shall not use the Doctor Portal for any purpose other than those expressly authorized by the Company and outlined in the documentation provided.

Healthcare Providers are responsible for maintaining the security of their login credentials and must not share their account information with unauthorized individuals.

Privacy Policy
The Client must register to avail of the Company’s services. Upon registration, the Company may collect personal data of the Client. This includes but is not limited to any information that the Client may voluntarily provide the Company for any legitimate purpose during the data collection and any of the Client’s information that the Company may collect from third parties and other sources when the Client provided their consent due to a legal requirement or legitimate purpose.

Payment

The Client agrees to make any and all payments for all amounts due and owing by reason of its use of the Company’s Services in a timely manner. This includes any and all fees, charges, or liabilities that may arise in this relation.

Intellectual Property

The Company and/or its licensors own the intellectual property rights for all materials used for or in connection with its Services. All intellectual property rights are reserved.

These rights are covered by the Intellectual Property Code. Any and all acts of infringement shall constitute breach of this Agreement which shall entitle the Company to terminate the same, without prejudice to any other remedy available to the Company under the law.

Limitation of Liability

The Client understands and agrees that the Company is neither a licensed clinic nor a licensed Compounding Pharmacy. The Company does not provide medical
advice, diagnosis, or treatment. The Services of the Company are meant to facilitate the provision of Healthcare Services as an intermediary platform by connecting its users with licensed physicians, Compounding Pharmacies, and other licensed Healthcare Providers. The Company likewise holds no liability for medical conditions arising from advice provided by the physicians and misuse of medication of the medicine that will be provided when the Company’s Services are availed of.

The Company disclaims all representations and warranties not expressly provided under these Terms and Conditions including other supplemental agreements between the parties as provided herein. These include but are not limited to the implied warranties on merchantability and fitness for a particular use.

The Company, including its officers, directors, employees, and agents, shall not be liable for any claims, demands, losses, liabilities, and expenses with respect to the Healthcare Services rendered by the Healthcare Providers and Compounding Pharmacies to whom the Client is connected to by reason of or through the Company’s Services or platform.

The Company, including its officers, directors, employees, and agents shall not be liable for any indirect, consequential, or special liability arising out of or in any way related to the Client’s use of this website.

Indemnification

The Client agrees to indemnify and hold the Company, its officers, directors, employees, and agents free and harmless from and against any and all liabilities, costs, demands, causes of action, damages, and expenses (including reasonable attorney’s fees) arising out of or in connection with the Client’s breach of any of the provisions of this Agreement.

Force Majeure

The Company shall not be held liable to the Client for failure to perform its obligations or for any delay in the performance thereof, if the failure or delay was due to any cause beyond the Company’s reasonable control, such as, but not limited to, acts of God, explosion, flood, tempest, fire, accident, war or threat of war, sabotage, insurrection, civil disturbance or requisition; acts, restrictions, regulations, by-laws, prohibitions or measures of any kind on the part of any governmental or local authority; interruption of traffic, strikes, lock-outs, or other industrial actions or trade disputes (whether involving employees of the Company or a third party); power failure or breakdown in machinery.

Upon the occurrence of any one of the events set out, the Company may, at its option, fully or partially suspend the performance of its Services while such event or circumstance continues. It may likewise terminate any contract with Clients so affected.

Term and Termination

This Agreement shall commence upon the Client’s acceptance of its Terms and Conditions. The Client is permitted to avail of the Company’s Services, under the terms and conditions set herein, so long as the same has not been terminated for any of the reasons provided herein.

The Client’s breach of any of the terms of this Agreement, including but not limited to non-payment for the Company’s Services, will result in the immediate
termination of this Agreement upon written notice by the Company.

Miscellaneous

Parties

It is understood that these Terms and Conditions are only between the Company and the Client, subject to the provision on Dependents. It is further understood that the terms, conditions, stipulations, representations, and agreements provided herein bind only the parties to these Terms and Conditions.

Assignment of Rights and Obligations

The Client may not assign nor transfer any of their rights, nor delegate the performance of their obligations under these Terms and Conditions.
The Company reserves the right to assign or transfer its rights under these Terms and Conditions, in whole or in part, to any party, with due notice to the Client.

Governing Law
These Terms and Conditions, including other supplemental agreements between the parties, will be governed by and construed in accordance with the laws of the
Republic of the Philippines.

Venue of Suits

Any court suit filed by either party by reason of these Terms and Conditions, including other supplemental agreements between the parties, shall be filed exclusively in the court of the City of Taguig only.

Amendment

The Company is permitted to amend these Terms and Conditions at any time it sees fit. The Client may access and review the most current version of these Terms and Conditions at any time. The Client is deemed to have been notified of any change or amendment to this Agreement upon availing of any of the Services provided by the Company after such change or amendment.

Supplementary Agreements

This Agreement shall be read, understood, and accepted in conjunction with the Company’s Privacy Policy and other agreements that the Client may sign with the Company in the availment of its Services. Read collectively, these agreements contain the entire understanding between the parties and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to the subject matter of these agreements.
